Acceptance of Terms

By accessing or using MRR Derby ("the Service"), operated by MRR Derby ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Eligibility

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or the company you represent. By using the Service, you represent that you meet these requirements.

Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activity that occurs under your account

Stripe Integration

The Service requires a read-only OAuth connection to your Stripe account to access revenue data. By connecting your Stripe account, you:

• Authorize us to access your MRR, subscription counts, and related revenue metrics through Stripe's API
• Acknowledge that we access this data in read-only mode and cannot modify your Stripe account, initiate charges, or access your customers' payment methods
• Understand that revenue data is used to calculate leaderboard positions, milestones, and related features
• Can revoke access at any time through your Stripe dashboard

Leaderboard and Public Data

MRR Derby displays company performance data on public and private leaderboards. By participating, you acknowledge that:

• Your company name, MRR, growth metrics, and leaderboard position may be publicly visible depending on your privacy settings
• You are responsible for configuring your privacy preferences
• Milestone achievements and badges earned may be displayed on your profile
• Other participants can see your relative performance within shared cohorts

Acceptable Use

You agree not to:

• Provide false, misleading, or fraudulent information
• Manipulate or artificially inflate revenue metrics
• Attempt to access other users' accounts or data without authorization
• Use the Service to harass, abuse, or harm other users
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or extract data from the Service
• Violate any applicable laws or regulations

Intellectual Property

The Service, including its design, features, content, and branding, is owned by MRR Derby and protected by intellectual property laws. You retain ownership of any data you provide, but grant us a license to use it as necessary to operate the Service.

Milestone cards, badges, and profile content generated by the Service may be shared publicly by you, but the underlying design and branding remain our property.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. Revenue data displayed is based on information received from Stripe and may experience delays or inaccuracies.

Limitation of Liability

To the maximum extent permitted by law, MRR Derby shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may delete your account at any time. Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted in accordance with our Privacy Policy
• Your Stripe OAuth connection will be revoked
• Any earned badges or milestones will no longer be publicly displayed

Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
